Terms of Service

By accessing or using any services provided by Siannova ("we," "our," or "us"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Siannova provides digital services including, but not limited to: AI development and automation, web development, software development, mobile app development, mobile game development, and digital marketing services.

The scope, deliverables, timelines, and pricing of specific services are defined in separate project agreements or statements of work entered into by both parties.

As a client, you agree to:

• Provide accurate, complete, and timely information necessary for project delivery
• Review and provide feedback on deliverables within agreed timeframes
• Ensure you have the legal right to provide any content, materials, or assets supplied to us
• Pay invoices in accordance with the agreed payment schedule
• Designate an authorized point of contact for project communication

Upon full payment of all fees for a project, Siannova assigns to the client all intellectual property rights in the custom deliverables created specifically for that project, except:

• Pre-existing tools, frameworks, libraries, or code owned by Siannova used during development (licensed to you on a non-exclusive basis)
• Third-party assets, software, or components subject to their own license terms
• General methodologies, know-how, and development processes

Siannova retains the right to display completed work in its portfolio unless explicitly agreed otherwise in writing.

Payment terms are specified in individual project proposals or agreements. Standard terms include:

• A deposit is required before work commences (typically 50% for fixed-price projects)
• Invoices are due within 14 days of issue unless otherwise agreed
• Late payments may incur interest at 1.5% per month
• Work may be paused on accounts with overdue balances exceeding 30 days

Both parties agree to treat as confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the agreement for a period of three (3) years. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

To the maximum extent permitted by applicable law, Siannova's total liability for any claims arising under or related to these terms shall not exceed the fees paid by you in the three (3) months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

Either party may terminate a project engagement with 30 days' written notice. Upon termination:

• The client is responsible for payment for all work completed up to the termination date
• Siannova will deliver all completed work and associated files to the client
• Any deposits paid for work not yet commenced may be refunded at our discretion

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising under these terms shall first be subject to good-faith negotiation between the parties, and if unresolved, to binding arbitration or the jurisdiction of competent courts.
